This agreement is between you (the "Subscriber", the "Client"), and VacationRentalDesk.com (the "Company"),
located online at http://www.VacationRentalDesk.com.
By placing your order, you agree to the terms outlined in this agreement ("Terms of Service") and acknowledge to be bound its terms.
Money Back Guarantee & Refund Policy
VacationRentalDesk.com is confident you're going to enjoy our software service.
As a commitment to you, if you're not fully satisfied,
email Customer Care anytime to cancel your account within 30 days of ordering to receive a full
refund of the subscription price.
Credit Card Processing Refund Policy
Set up fees charged for credit cards are
eligible for 100% refunds only if you are declined for a merchant account (your merchant account allows
you to accept credit cards) due to poor credit or insufficient credit history.
Clients who wish to use their existing merchant account may do so if their merchant account is compatible
(see the section entitled "Merchant Service Provider Compatibility" below).
Set up fees still apply to Clients using
their existing merchant account due.
Credit card processing monthly fees are not refundable.
Editorial Guidelines
In order to provide website visitors with a positive and informative experience,
VacationRentalDesk.com has established a set of editorial guidelines for all web pages.
These guidelines ensure that you, the client, will achieve the maximum benefits from
using our services. By creating a positive web environment for visitors,
you will see more visitor inquiries for your vacation rental, and, ultimately more bookings.

Support Limitations & Browser Compatibility
The Vacation Rental Desk supports the latest versions of Internet Explorer and Firefox, including IE 6, IE 7, and Firefox 2.0, and the latest versions
of Opera and Safari for Microsoft Windows.
The Vacation Rental Desk does not support HTML frames. When integrating the VacationRentalDesk.com online booking process
into your existing website, HTML FRAME elements cannot be used due to browser cookie incompatibility. Many web browsers will not support
cookies within frames and VacationRentalDesk.com requires cookies in order to maintain HTTP state and facilitate the reservation process.
Generated Source Code
VacationRentalDesk.com provides online booking button links and other online booking services which may be generated using
your account. All generated source code is copyrighted by VacationRentalDesk.com and may not be altered in any way
(such as modifying HTML, hyperlinks, text, or removing the VacationRentalDesk.com branding link) when placed on another website,
web page, or when placed in emails without the express written consent of VacationRentalDesk.com.
The client agrees that all generated source code remains the property of VacationRentalDesk.com™ and even after it is copied and pasted onto
the client's websites, web pages, or emails, that the generated source code is still protected by copyright law and copyrighted
by VacationRentalDesk.com®. The client understands that VacationRentalDesk.com™ routinely scans the world wide web to monitor all
generated source code links placed onto any websites or web pages within the world wide web to ensure that these rules are
enforced. VacationRentalDesk.com reserves the right to suspend accounts which are using non-designated or modified
generated source code on other websites or web pages without the written consent of Vacation Rental Desk.
Billing Policy
Charges to your credit card will appear on your statement to be from "VacationRentalDesk.com".
Accounts are be billed monthly in advance.
Receipts of all charges to your credit card are sent automatically by email to the email address provided when signing up.
The amount charged for services is published on our website at http://www.vacationrentaldesk.com/vacation_rental_booking_software/Signup.aspx.
All prices are in USD.
Accounts are billed monthly in advance. Accounts are billed regardless of whether or not you use your account.
This is because account service must be maintained at all times,
including online booking and reservation management services, website hosting services,
data storage services, credit card processing services, and other services we offer.
Accounts are billed monthly regardless of usage until an account cancellation notice is received
(see the section "Contract, Cancellation, and Hold Policy" below).
Credit card processing is an add-on feature that can be chosen during the signup process. Monthly fees for credit card processing
are charged in addition to the standard monthly subscription fee. Monthly and set up fees for credit card processing
apply at the date of signing up and placing your order.
All subscribers are required to start service with a minimum of one vacation rental property, and may add additional vacation rentals by signing
in to their VacationRentalDesk.com account, clicking the
"My Account" button, and then clicking "Add Vacation Property" link.
When new vacation rentals are added to your account, your subscription price will change
according to our pricing policy listed on our website. Your account will be pro-rated by our billing department as you add vacation rentals.
Pricing is subject to change. We will notify you of any pricing changes at least 30 days in advance.
A valid United States or Canadian postal address, telephone number,
and credit card is required to sign up with VacationRentalDesk.com and maintain account service.
Account Delinquency Policy
A late fee of $50.00 USD applies to accounts 30 days past due.
Accounts 30-60 days or more past due have will be suspended until
the full account balance including the late fee has been paid by credit card.
It is the responsibility of the account holder to contact VacationRentalDesk.com and resolve
any past-due account balances.
Suspended accounts will not immediately lose any account information or vacation rental information
(such as photos, text, reservations, or transactions). However, VacationRentalDesk.com reserves
the right to terminate accounts more than 60 days past-due, including all the data therein.
VacationRentalDesk.com will not be held liable for records of reservations for accounts that have been terminated.
Account data and records will not be provided to the account holder after the time that the account
has become past due. The account holder must pay any existing account balances in full before the account
can be reactivated. In addition, once an account holder's account has been reactivated it is the
account holder's duty to retrieve all required information on their own behalf through their VacationRentalDesk.com.
Merchant Services
VacationRentalDesk.com is partnered with highly qualified, industry leading Merchant Service Providers
(MSP) to offer credit card processing services at group discount prices.
All new clients purchasing the VacationRentalDesk.com service with the credit card processing add-on feature must
fill out and sign a Merchant Application before credit cards can be processed
through their VacationRentalDesk.com account. The exception is if the Client wishes to use their existing merchant account
(see section "Merchant Service Provider Compatibility" below). The Merchant Application will be provided in the Client's account
and is used to establish a merchant account for the Client
(a merchant account is a commercial bank account and required for processing major credit cards).
The exact terms and conditions of the merchant services provided including discount rates and fees
are indicated on the merchant application. Discount rates, fees, and all other processing fees are not determined by VacationRentalDesk.com.
Actual discount fees and rates offered on the merchant application may fluctuate and are not guaranteed
until a signed merchant application is received from the client by the third-party Merchant Service Provider.
The client will have the option on the merchant application to indicate which of the major credit cards to accept, including
Visa/MasterCard, Discover and American Express.
Clients purchasing the VacationRentalDesk.com service with the credit card processing add-on feature acknowledge that
it is against VISA/MasterCard, Discover and American Express regulations to collect
credit card information prior to becoming an officially approved merchant, and agree not to collect credit card
information prior to becoming an officially approved merchant.
The client reserves the right to refuse to sign
the merchant application if for any reason the client does not agree to any of the terms and conditions
of the merchant application. In such a case, merchant services will not be provided to the client
and the client may sign up with another Merchant Service Provider and use a different merchant account provided that the merchant account is compatible
with VacationRentalDesk.com (see the section entitled "Merchant Service Provider Compatibility" below).
Merchant Service Provider Compatibility
The Client may use an existing merchant account, offered by a Merchant Service Provider not affiliated with VacationRentalDesk.com,
provided that it is compatible with our software systems. Compatibility may be checked by contacting Customer Care for instructions.
In order for the Client to use their merchant account with VacationRentalDesk.com and process credit cards,
complete and correct merchant account information must be submitted
to VacationRentalDesk.com by email or fax. This information includes items such as your merchant number and telephone number and
may be sent to us by either yourself or your Merchant Service Provider.
It is the responsibility of the Client to guarantee that the merchant account
information provided to VacationRentalDesk.com accurate, that their merchant account is in good standing and functioning properly, and that
their Merchant Service Provider is aware that the Client is processing transactions through VacationRentalDesk.com.
Contract, Cancellation, and Hold Policy
The contract length for this service is month to month.
You may cancel and close your account any time by signing in and clicking the
"My Account" button followed by the "Close My Account" button from within your online account.
If you are having difficulty accessing your account, cancellation requests can also be made by
email to accounts@VacationRentalDesk.com.
The cancellation notice date for email cancellations is the date the email is sent.
If the cancellation notice is received by email, VacationRentalDesk.com reserves
the right to confirm the cancellation request with the account holder by a subsequent
email confirmation requiring a written email response. The response to a cancellation
request is sent in a timely manner to ensure that no fraudulent activity is occurring,
and it is the true intent of the account holder to cancel their VacationRentalDesk.com account services.
This is a safe-guard to protect the business services that VacationRentalDesk.com offers to our clients.
Accounts may not be placed on hold. Account service is year-round. A 30-day notice is required to cancel your account.
Licensing
VacationRentalDesk.com grants you the ability to use Booking Links on any web page or email.
Graphics referenced in Booking Links by the SRC HTML property which are hosted on
our servers are copyrighted by VacationRentalDesk.com and may not be downloaded and modified in any way
for personal or commercial use.
You may not directly reference any other graphics hosted by VacationRentalDesk.com such as photos
from any website.
Interruption of Service
VacationRentalDesk.com puts forth its best-faith efforts to provide 24/7 service by utilizing monitoring technologies, standby systems, and
on-site technicians from 9AM to 5PM business days plus after-hours emergency support. However, service is not guaranteed.
VacationRentalDesk.com reserves the right to interrupt service for maintenance and system upgrades at our discretion without notification
to the Client.
Limitation of Liability
VacationRentalDesk.com does not accept liability for lost income due to reservations
that cannot be taken due to catastrophe such as hurricanes, floods, tornados, et cetera.
VacationRentalDesk.com does not assume responsibility for financial loss on behalf
of the vacation rental owner (client) due to erroneous data entered by the client
guest reservations, payments, or e-mails using
VacationRentalDesk.com™. It is the client's sole responsibility
to ensure that all information regarding a reservation is legitimate and accurate.
The client assumes full responsibility for communicating with their guests about
all matters regarding the reservation process, including payments, and verifying these matters
with the guest by telephone and or through their own private
e-mail system, apart from VacationRentalDesk.com, to ensure that all communication for
the reservation has been received and understood by both the guest and the client.
VacationRentalDesk.com does not assume responsibility for financial loss on behalf of the
client for lost revenue due to inability to charge credit cards using the
Vacation Rental Desk due to scheduled system maintenance or any other type of downtime.
It is the client's responsibility to always provide alternate methods of payment to guests and ensure
that there is sufficient time to collect such payments for each reservation.
In the event that the Client cannot process credit cards through their account,
the Client must use the voice authorization and voice settlement provided by the Client's Merchant Service Provider
or arrange a different payment method. VacationRentalDesk.com is not a Merchant Service Provider.
Voice authorization and voice settlement is performed by calling the designated
toll-free numbers provided by the Client's Merchant Service Provider and processing credit cards over the telephone.
VacationRentalDesk.com may not be held liable for erroneous data or data loss pertaining to reservations
caused by the client. The client assumes the responsibility of keeping backup copies of
all reservation information (such as charges, payments, payment methods, guest correspondence, check-in and check-out dates)
entered into their account so that in the event that the Client's account becomes inaccessible
due to data corruption, hardware failure, or service failure,
the Client will have their own personal copy of all reservation and guest information required to continue conducting business
without interruption.
